Are you adding or updating personnel on your California contractor license?

Have the officers, managers, members, directors, or qualifying individual associated with your corporation or LLC changed?

If so, make sure the Contractors State License Board (CSLB) records are updated when required.

California law generally requires changes in license personnel to be reported to CSLB within 90 days of the effective date of the change.

Keeping your personnel records current is especially important because many CSLB forms, renewals, and license transactions must be signed by authorized personnel already associated with the license.

I’ve seen plenty of situations where a company needs to submit an application, but the officer or other personnel CSLB still has on record has retired, left the business, or passed away.

That can turn a simple licensing transaction into a much bigger problem.

When Do Personnel Changes Need to Be Reported?

If personnel listed on your California contractor license leave or otherwise change, the change generally must be reported to CSLB within 90 days.

For corporations and LLCs, changes can involve:

  • Officers
  • Directors
  • LLC managers
  • LLC members
  • Responsible Managing Officers
  • Responsible Managing Managers
  • Responsible Managing Members
  • Responsible Managing Employees

The correct filing depends on what is actually changing.

Don’t simply submit an “add personnel” form for every situation.

CSLB has different forms for adding new personnel, changing an existing person’s title, removing personnel, and replacing a qualifying individual.

Adding New Personnel to an Existing Corporation or LLC

If you’re adding a new non-qualifying person to an existing corporation or LLC license, use CSLB’s:

Application to Add New Personnel to Existing Corporate or Limited Liability Company License — Form 13A-7

For a corporation, this form can be used to add qualifying personnel such as a new non-qualifying officer or director.

For an LLC, it can be used to add a new:

  • Officer
  • Manager
  • Member
  • Director, when applicable

The current CSLB fee is:

$125 per new personnel application

A separate application is required for each new person being added.

New personnel also must satisfy applicable fingerprinting requirements before CSLB approves the association.

Changing the Title of Existing Personnel

If the individual is already listed on the license and only their title or position is changing, don’t use the Add New Personnel application.

Use:

Application to Report Change of Title for Current Officer or Personnel of Existing Corporate or Limited Liability Company License — Form 13A-7a

This form is specifically for changing the title of personnel already associated with the license.

For example, an existing corporate officer’s title may change, or an LLC member or manager already on the license may take on a different reportable role.

CSLB currently charges no fee for this title-change application.

You can access the Change of Title application through CSLB.

Removing or Disassociating Personnel

If an officer, manager, member, director, partner, or other personnel leaves the business, use the appropriate:

Disassociation Request — Form 13M-5

For example, if a non-qualifying corporate officer leaves the company, that disassociation should generally be reported within 90 days of the effective date.

If CSLB does not receive the notice within the 90-day period, the date CSLB receives the notice may become the recorded disassociation date.

This matters because the individual may continue to appear on CSLB’s public license record until the disassociation is properly reported.

The same general reporting principle applies when LLC personnel leave the company.

Replacing the Qualifying Individual

Replacing your qualifier is different from simply adding a new officer, manager, or member.

If the person leaving is the:

  • Responsible Managing Officer (RMO)
  • Responsible Managing Employee (RME)
  • Responsible Managing Manager
  • Responsible Managing Member
  • Other qualifying individual applicable to the license entity

use:

Application for Replacing the Qualifying Individual — Form 13A-2a

A company generally has 90 days from the qualifier’s disassociation date to replace the qualifying individual.

Failure to replace the qualifier within the required period can result in:

  • Suspension of the license
  • Removal of the affected classification

The replacement qualifier may also need to satisfy applicable experience and examination requirements unless an exam waiver or exemption applies.

What if the Qualifier Dies?

If the qualifier on a corporation or LLC license dies, a replacement qualifier generally must be added within 90 days.

Corporations and LLCs do not use the license-continuance process for this situation because the contractor license belongs to the business entity.

Instead, the company uses the Application for Replacing the Qualifying Individual.

If a non-qualifying officer, member, or manager dies, CSLB currently instructs the company to provide notice, such as a death certificate or obituary, within 90 days to disassociate that person from the license.

If replacement personnel also need to be added, use the Add New Personnel application.

Don’t Rely on an Old Processing-Time Estimate

Older versions of this article stated that adding an officer could take “up to eight weeks.”

I would no longer use a fixed processing-time estimate.

CSLB processing times change based on workload, application type, staffing, and whether an application is complete when submitted.

Instead, check CSLB’s current Processing Times page when you need to know what applications the board is currently processing.

The better strategy is to report personnel changes promptly rather than waiting until you urgently need the new officer, member, manager, or qualifier to sign another CSLB application.

Why Keeping Your Personnel Records Current Matters

Here’s a common scenario.

Your company needs to submit a license application or maintenance form that requires the signature of an authorized officer.

But CSLB’s records still show an officer who:

  • Retired
  • Left the company
  • Died
  • Changed positions

Now you have to fix the personnel record before the original licensing transaction can move forward.

That’s why I recommend treating personnel changes as part of your normal business-compliance process rather than waiting until another CSLB transaction exposes the problem.

Which CSLB Form Do You Need?

Use the form that matches the actual change:

  • Adding a new officer, manager, member, or other eligible non-qualifying personnel: Form 13A-7, Application to Add New Personnel
  • Changing the title of someone already listed: Form 13A-7a, Application to Report Change of Title
  • Removing personnel from the license: Form 13M-5, Disassociation Request
  • Replacing the qualifying individual: Form 13A-2a, Application for Replacing the Qualifying Individual

Using the wrong form can result in CSLB returning the application and delaying the change.
